Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the ResidentFlow AI platform, websites, and related services (the "Service") operated by Jake Thomson, doing business as ResidentFlow AI ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized access.

3. Subscription & Billing

The Service is offered on a subscription basis. Plans, prices, and features are listed on our pricing page and may change with notice. Subscriptions renew automatically until cancelled. Trials convert to paid plans unless cancelled before the trial ends.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle processes all payments, appears on your billing statement, issues invoices and receipts, handles applicable sales taxes and VAT, and manages returns and refunds. By subscribing, you authorize Paddle to charge your selected payment method on a recurring basis according to your chosen plan, and you agree to Paddle's Buyer Terms.

4. Acceptable Use

You agree not to: (a) use the Service to send unlawful, deceptive, or unsolicited bulk communications; (b) attempt to access another customer's data; (c) reverse-engineer or interfere with the Service; (d) use the Service in violation of applicable telecommunications, anti-spam, or housing laws. You are solely responsible for the content you transmit and for obtaining any required consents from your residents.

5. Customer Data

You retain all rights to data you submit ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service. Our handling of personal data is described in our Privacy Policy.

6. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by ResidentFlow AI or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service during your subscription.

7. Termination

You may cancel at any time from your account settings. We may suspend or terminate access for material breach of these Terms or for non-payment. On termination, your access ends and we may delete Customer Data after a reasonable retention period.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Jake Thomson's (d/b/a ResidentFlow AI) aggregate liability arising out of or relating to the Service will not exceed the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Changes

We may update these Terms from time to time. Material changes will be announced in-product or by email. Continued use after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Vermont, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Vermont.
